Terms of Service

Your agreement with UniPlanner

1. Introduction

Welcome to UniPlanner! These Terms of Service ("Terms") govern your use of the UniPlanner website, platform, and associated services ("Service"), operated by UniPlanner, Inc. ("we," "us," or "our"). By using UniPlanner, you agree to these Terms. If you do not agree, please do not use the Service.

2. Eligibility

To use UniPlanner, you must be:

  • At least 13 years old
  • A student, advisor, coach, or administrator with authorized access to academic data
  • Capable of entering into a binding legal agreement

By using our Service, you represent and warrant that you meet these eligibility requirements.

3. User Accounts

3.1 Registration

You may need to create an account to access some features. You agree to provide accurate, complete, and up-to-date information when registering.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately if you suspect any unauthorized use of your account.

4. Acceptable Use

You agree to use UniPlanner only for lawful academic and organizational purposes. You may not:

  • Upload content that violates FERPA, GDPR, copyright law, or other regulations
  • Access or attempt to access another user's data without permission
  • Use the Service to send spam or unsolicited messages
  • Reverse-engineer, scrape, or exploit the platform for commercial gain

We reserve the right to suspend or terminate your account for any violation of these Terms.

5. Academic Data & FERPA/GDPR Compliance

5.1 Student Records

UniPlanner may process academic data such as assignment schedules, course info, instructor details, and syllabi. This data is considered FERPA-protected when linked to student users. We act as a school official under FERPA when authorized by institutions.

5.2 Consent

If you're a student uploading syllabi or assignments, you affirm that you have the right to do so. If you're an advisor or institution administrator, you agree to use academic data solely for educational purposes in accordance with FERPA or applicable law.

5.3 GDPR Rights

Users in the EU/UK have the right to access, rectify, delete, or restrict the use of their personal data under the General Data Protection Regulation (GDPR). For details, see our Privacy Policy.

6. Authentication & Third-Party Sign-In

6.1 Google Sign-In

UniPlanner offers Google OAuth sign-in as a convenient authentication method. By choosing to sign in with Google, you agree to the following:

6.1.1 Account Creation

  • Signing in with Google creates a UniPlanner account linked to your Google account
  • We access your Google email address and basic profile information (name) for account setup
  • Google email addresses are considered verified and do not require additional email verification
  • You can revoke Google sign-in access at any time through your Google Account settings

6.1.2 Data Usage

  • We use Google account information only for authentication and account management
  • We do not use Google sign-in data for advertising or analytics purposes
  • Your Google account information is subject to Google's privacy policy
  • You can disconnect your Google account from UniPlanner at any time

7. Google Calendar Integration

7.1 Google Calendar Integration

UniPlanner offers optional integration with Google Calendar to help users manage their academic schedules more efficiently. By connecting your Google Calendar account, you agree to the following:

7.1.1 Authorization and Permissions

  • UniPlanner requests permission to create new calendar events via the Google Calendar API
  • We do not read, access, or modify existing events in your calendar
  • You can revoke access at any time through your Google Account settings

7.1.2 Limited Use Compliance

We comply fully with Google's Limited Use requirements:

  • We do not use Google user data for advertising or analytics purposes
  • No human accesses your Google user data unless required for security or legal compliance
  • We do not share Google user data with third parties
  • We use Google user data only to add events to your calendar based on your assignments in UniPlanner

7.1.3 Data Usage

UniPlanner uses the Google Calendar scope only to create calendar events that reflect assignments and deadlines entered in the platform.

  • We do not access or read existing calendar data
  • We do not use your Google Calendar to detect scheduling conflicts or availability

8. UniCore & Study Assistance

8.1 UniCore Service

UniPlanner includes UniCore, an AI-powered study coach that provides personalized academic guidance, study planning, and time management advice. By using UniCore, you agree to the following:

8.1.1 Service Description

  • UniCore analyzes your courses, assignments, and study preferences to provide personalized recommendations
  • Recommendations are generated based on your academic data and may include study schedules, task prioritization, and time management tips
  • UniCore is a tool to assist with planning and does not guarantee academic success

8.1.2 Data Usage

  • Your course and assignment data is used to generate personalized recommendations
  • Chat conversations with UniCore are stored to improve your experience and may be used to enhance the service
  • We do not share your UniCore conversations with third parties or use them for advertising

8.1.3 Limitations & Disclaimers

No Guarantees: UniCore provides suggestions and recommendations, but you are responsible for your academic decisions and outcomes
Not Professional Advice: UniCore is not a substitute for academic advisors, tutors, or professional educational guidance
Accuracy: While we strive for accuracy, recommendations may not always be perfect or suitable for your specific situation

9. SMS & Text Message Communications

9.1 SMS Notification Service

UniPlanner offers optional SMS (text message) notifications to help you stay on top of your assignments and study schedule. By enabling SMS notifications, you explicitly consent to receive transactional text messages (SMS) from UniPlanner, LLC.

"I agree to receive transactional text messages (SMS) from UniPlanner, LLC, including daily academic workload summaries, assignment due reminders, and schedule-related alerts. Message frequency varies. Msg & data rates may apply. Reply STOP to opt out at any time."

9.1.1 Message Types

We send the following types of transactional SMS messages:

  • Daily Workload Summaries: Morning texts with your daily workload and assignments due that day
  • Assignment Due Reminders: Same-day reminders for assignments due that day
  • Upcoming Assignment Reminders: Notifications 24 hours, 48 hours, or 1 week before assignments are due
  • Academic or Schedule Alerts: Important schedule-related notifications

9.1.2 Message Frequency & Opt-Out

Message Frequency: Message frequency varies based on your assignments and preferences
Msg & Data Rates: Standard message and data rates may apply based on your mobile carrier plan
Opt-Out: Reply STOP to opt out at any time. You can also disable SMS notifications through your account settings
No Marketing: We do not send marketing or promotional SMS messages. All messages are transactional and related to your academic account

9.1.3 Consent & Phone Number Privacy

Explicit Consent Required: SMS notifications are opt-in only and require explicit consent. Consent is not bundled with acceptance of these Terms or our Privacy Policy
Phone Verification: Phone numbers must be verified via SMS code before notifications are enabled
Secure Storage: Your phone number is stored securely and used solely for sending transactional notifications you've requested
Third-Party Service: We share your phone number with Twilio solely for message delivery. Twilio is contractually bound to protect your data
Update or Remove: You can update or remove your phone number at any time through your account settings

10. Course Sharing & Social Features

10.1 Course Sharing

UniPlanner allows you to share your courses and assignments with friends and classmates. By using course sharing features, you agree to the following:

10.1.1 Sharing Permissions

  • When you share a course, you grant the recipient access to view course information and associated assignments
  • Shared courses create a copy in the recipient's account; they do not have editing access to your original course
  • You can revoke course sharing at any time, which will prevent future updates but may not remove already-imported data

10.1.2 Shared Data

  • When you share a course, the recipient receives course name, instructor information, and all associated assignments
  • Assignment completion status is reset for the recipient; they manage their own progress independently
  • You are responsible for ensuring you have the right to share any academic content you choose to share

10.2 Friend Connections

UniPlanner includes social features that allow you to connect with friends and see who is taking the same courses:

  • Friend Requests: You can send and receive friend requests to connect with other UniPlanner users
  • Course Visibility: When you and a friend are both taking the same course, you can see that you're taking it together
  • Privacy: Friend connections do not grant access to your academic data unless you explicitly share a course
  • Unfriend: You can remove friend connections at any time through your account settings

11. Intellectual Property

11.1 Ownership

UniPlanner retains all intellectual property rights to the Service, including the website, dashboard, tools, analytics, design, and branding. These Terms do not grant you any right to use our trademarks or logos.

11.2 User Content

You retain ownership of content you upload (e.g., syllabi, course documents), but you grant us a limited license to use, store, and process it for the purposes of providing the Service.

12. Payment & Subscription Terms

12.1 Subscription Plans

UniPlanner offers subscription-based access to the Service. By subscribing, you agree to the following terms:

  • Subscription Plans: We offer monthly, semesterly (4 months), and yearly subscription plans
  • Billing Cycle: You will be charged at the beginning of each billing period (monthly, every 4 months, or annually)
  • Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled
  • Payment Processing: Payments are processed securely through Stripe
  • Account Creation: You may register for a UniPlanner account at no cost, but full access requires an active subscription
  • All Plans Include: All subscription plans include the same features and functionality

12.2 Free Trial

7-Day Free Trial: New subscribers are eligible for a 7-day free trial period. During the trial, you have full access to all features.

  • A credit card is required to start the free trial
  • If you cancel before the trial ends, you will not be charged
  • If you do not cancel, your subscription will automatically begin and you will be charged at the end of the trial period
  • You can cancel your subscription at any time through your account settings

12.3 Cancellation & Refunds

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

  • You will continue to have access to all features until the end of your current billing period
  • No refunds are provided for the unused portion of a billing period after cancellation
  • If you cancel during your free trial, you will not be charged

Refund Policy: Refunds are available only in exceptional circumstances and at our discretion. Contact support@uniplanner.ai to discuss refund requests.

12.4 Subscription Changes

You may change your subscription plan at any time:

  • Upgrading to a longer billing period (e.g., monthly to yearly) will apply immediately with a prorated credit
  • Downgrading to a shorter billing period will take effect at the end of your current billing period
  • All subscription changes can be made through your account settings

12.5 Payment Processing

All payments are processed securely through Stripe. We do not store your payment information.

  • Payment data is encrypted and processed by Stripe
  • We only store payment confirmation and subscription status
  • Stripe's privacy policy applies to payment data processing
  • If payment fails, we will attempt to retry the payment. If payment continues to fail, your subscription may be suspended

12.6 Access Termination

If your subscription is cancelled or payment fails:

  • You will retain access until the end of your current billing period
  • After cancellation or payment failure, you will lose access to premium features
  • Your account and data remain accessible, and you can resubscribe at any time to restore full access

13. Third-Party Services

UniPlanner may integrate with third-party services (e.g., Google Calendar, Canvas LMS). Your use of these services is subject to their own terms and policies. We are not liable for issues that arise from third-party integrations.

14. Disclaimers

The Service is provided "as is" and "as available." We do not guarantee that:

  • The platform will be error-free, uninterrupted, or fully secure
  • Academic insights or recommendations will be accurate or complete
  • Uploaded data will remain permanently available

You use the Service at your own risk.

15. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, or consequential damages
  • Our total liability to you for any claim will not exceed the amount you paid (if any) in the past 12 months
  • Some jurisdictions do not allow certain exclusions—these limits may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless UniPlanner, its officers, employees, and affiliates from any claims, losses, damages, or legal fees arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your infringement of third-party rights

17. Termination

We may suspend or terminate your access to the Service at any time for:

  • Violating these Terms
  • Causing harm to the platform, other users, or our reputation
  • Legal or security risks

You may terminate your account at any time by contacting support@uniplanner.ai.

18. Changes to These Terms

We may update these Terms periodically. When we do, we will revise the "Last Updated" date and, where required, notify users via email or in-app notification. Continued use after the changes implies acceptance of the new Terms.

19. Governing Law

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Durham County, North Carolina.
